Z PALETTE Z REWARDS LOYALTY PROGRAM

Subject to the terms and conditions set forth below, Members of the Z Rewards Loyalty Program may earn Points in association with the purchase of qualifying Products made on the Z Palette website only. Points earned may be redeemed toward the purchase of qualifying Products made on the Z Palette website only. The interpretation and application of the Z Rewards Loyalty Program, and its terms and conditions are at the sole discretion and determination of Z Palette.

1. DEFINITIONS
These terminologies have the following meanings unless indicated otherwise: Affiliate is an authorized Z Palette Retailer of that sells Products. Benefits is the facilities, services, products, discounts, offers, activities, events or arrangements that Members may be offered to Members in conjunction with participating in the Z Rewards Loyalty Program. Individual is a person that is not a Member. Member is a person who has a Membership in the Program. Membership is being a Member of the Z Rewards Loyalty Program. Points is points that a Member can accrue from qualifying purchases made and/or participating in non-purchase activities. Products is makeup, makeup accessories, and like products that Z Palette offers for retail sale. Program is the Z Palette Z Rewards Loyalty Program. Retail Price is the purchase price paid for qualifying Products on the Website, whether at full price, a promotional price, or sale price. Rewards is the discounts offered through the redemption of Points on a Product purchase. Website is the Z Palette website found at www.zpalette.com. Z Rewards Loyalty Program is the retail program that Z Palette offers so Members can earn Points and other Benefits through participation.

2. PROGRAM PARTICIPATION
2.1 Individuals are not required to make a purchase to obtain Membership into the Program.
2.2 Individuals are under no obligation to apply to be a Member of the Program.
2.3 Individuals are under no obligation to be a Member of the Program or to make purchases on the Website.
2.4 Individuals may not be a Member of more than one Z Palette rewards program, commercial program, or professional program.
2.5 Individuals can only have one Member account at any time.
2.6 Z Palette exercises its discretion to offer the Program and has no obligation to offer such program to Individuals.
2.7 Individuals who are Members may terminate participation at any time, and may do so by visiting the Website.
2.8 The Program is void where prohibited by law.

3. PROGRAM ELIGIBILITY AND SIGN UP
3.1 Individuals acknowledge that they are 13 years or older at time of Membership sign up.
3.2 Individuals under the age of 18 must obtain consent from a parent or legal guardian prior to participation.
3.3 By signing up for the Program, you and/or your parent or legal guardian agree to be bound by these terms and conditions.
3.4 Z Palette exercises its discretion to accept or reject an Individual for Membership.
3.5 To apply for the Program, Individuals must provide: First Name, Last Name, Mailing Address, Email Address, Birthdate, and Phone Number.
3.6 Individuals may apply to become a Member of the Program by visiting the Website.
3.7 Individuals are not automatically enrolled into the Program, and must enroll into the Program separately.

4. PROGRAM MEMBERSHIP
4.1 The Program and its Membership Rewards and Benefits remain the property of Z Palette.
4.2 The Program Membership and its Rewards and Benefits are not transferable, not for sale, and not for barter.
4.3 Membership approval will be communicated electronically, and no physical card will be created.
4.4 If a Member forgets their login or password, Member must reset by visiting the Website and follow the prompts.
4.5 Member cannot create multiple accounts, and merge Points, Benefits, or Rewards associated with multiple accounts.
4.6 If a Member obtains a new Membership account, any and all Points, whether positive or negative, will be transferred to the new Membership account.
4.7 Z Palette is not responsible for activity resulting from fraudulent use, including but not limited to (a) use of a Member’s account, Points, Rewards or Benefits; (b) redemption of a Member’s account, Points, Rewards or Benefits; (c) usage of redeemed Points, Rewards, or Benefits prior to Member informing Z Palette that Membership accessibility has been compromised.

5. MEMBER INFORMATION AND ACCOUNT MAINTENANCE
5.1 Member must be signed in to the Program to access account information and update their profile.
5.2 Member is responsible to maintain accurate personal information of Membership account by visiting the Website.
5.3 Z Palette assumes no responsibility for errors caused by incorrect Member information submitted.
5.4 All Member information provided will be handled according to the Z Palette Privacy Policy, which is found on the Website.

6. POINTS ACCRUAL
6.1 Members can earn Points though a qualifying Products purchase made on the Website, or through a non-purchase activity.
6.2 Points are earned on the Retail Price of qualifying Products only.
6.3 Members earn five (5) Points for every one (1) US Dollar spent on the purchase of qualifying Products.
6.4 From time to time, Members may be able to earn ten (10) Points for every (1) US Dollar spent on specific Products, in which Z Palette will communicate such Products to Members in writing.
6.5 Any and all Points accumulated in relation to Retail Price paid are rounded down to the nearest US Dollar.
6.6 Members must be signed into the Program at time of purchase, otherwise Member forfeits eligibility to earn Points on such purchases.
6.7 Points are not transferable, not for sale, and not for barter.
6.8 Neither credit nor cash will be given for unused Points.
6.9 Points accrued for a qualifying purchase, after applied to an account, may only be redeemed for subsequent purchases.

7. POINTS ACCRUAL EXCLUSIONS
7.1 Points cannot be purchased.
7.2 Points cannot be earned on purchases made from Z Palette Affiliates.
7.3 Points cannot be earned on Products purchased from another Z Palette rewards program, commercial program, or professional program.
7.4 Points cannot be earned for the purchase of Z Palette Gift Cards; however, Points can be earned for the purchases made with a
Z Palette Gift Card.
7.5 Points cannot be earned for charges related to taxes, delivery, fees, or surcharges paid in association with the delivery of qualifying Product purchases.
7.6 Points cannot be earned on transactions and amounts that include redemption of merchandise vouchers, store credit, price adjustments, merchandise returns, discount applied, or credit amount received.
7.7 Points cannot be earned if Individual was not a Member of time of purchase.
7.8 Points cannot be earned if Member was not signed in to the Program at time of purchase.
7.9 Members may not apply Points earned on their own account to other Member accounts.

8. POINTS REDEMPTION GUIDELINES
8.1 Members can redeem Points for Product purchases made on the Website only.
8.2 Members must be signed in to the Program to redeem Points.
8.3 Points earned and redeemed are solely for Member personal use.
8.4 Points earned may be redeemed to reduce the purchase price of qualifying Products as per the below scale:
500 Points = $5.00 off
1000 Points = $10.00 off
1500 Points = $15.00 off
2000 Points = $20.00 off
8.5 Points may be redeemed in any combination and in the increment amounts listed.
8.6 Points redemption is subject to product availability.
8.7 Points redemption is subject to the available balance posted at the time of purchase.
8.8 Points cannot be accrued for Products purchased with redeemed Points; however, Points can be accrued for portion of the Retail Price paid after the redeemed Points value has been applied to the transaction.
8.9 Points cannot be redeemed for charges related to taxes, delivery, fees, or surcharges paid in association with the delivery of qualifying Product purchases.

9. APPLICATION OF POINTS TO ACCOUNT
9.1 If a Member receives a Gift with Purchase (GWP), Points will not be given for the retail value of the GWP.
9.2 Points cannot be redeemed on purchases made from Z Palette Affiliates.
9.3 Points cannot be redeemed on Products purchased from another Z Palette rewards program, commercial program, or professional program.
9.4 Points cannot be redeemed to purchase a Z Palette Gift Cards.
9.5 Points cannot be redeemed for charges related to taxes, delivery, fees, or surcharges paid in association with the delivery of qualifying Product purchases.
9.6 Points cannot be redeemed if Member was not signed in to the Program at time of Point redemption.
9.7 Members may not redeem Points earned on from other Member accounts.

10. APPLICATION OF POINTS TO ACCOUNT
10.1 Points are applied to Member account within 15 days of the qualifying Product purchase date.
10.2 The timing for issuing Points is subject to change.
10.3 Z Palette is not obligated to make good any loss arising directly or indirectly as a result from failure of Member to uphold the requirements outlined to earn and/or redeem Points.

11. DEDUCTION OF POINTS TO ACCOUNT
11.1 Points may be deducted from a Member account if applied in error or as a result of an error.
11.2 Points may be deducted from a Member account for transactions that have been canceled, reversed, or refunded. Points earned for such transactions will be deducted for an amount equal to the Points earned from the original transaction, including Bonus Points, if applicable.
11.3 Z Palette exercises its discretion to deduct Points from any Member account at any time if Member is currently engaged in, or may engage in, or has engaged in (a) fraudulent and suspected fraudulent activity regarding the accrual and/or redemption of Points; (b) conduct that undermines the legitimate business interests of Palette and the Program; (c) a breach of any and all terms set forth in this Program.

12. POINTS DISPUTE
12.1 Z Palette reserves the right to determine the amount of Points in any Member's account based on Z Palette internal records related to such Member's account.
12.2 Member Points balance as reflected in Z Palette records are considered to be correct.
12.3 Members must contact Z Palette in writing for any and all dispute claims.
12.4 If Member believes Points were not applied for a qualifying purchase made, Member must notify Z Palette in writing within 30 days of the date on which the transaction was made.

12.5 Member waives any and all rights to in association with such dispute if Z Palette does not receive notice as requested; and therefore, Z Palette exercises its discretion to no longer investigate such dispute.
12.6 Z Palette may request additional information from Member to investigate such claims, and will communicate such requests during the investigation, as required.
12.7 Upon completion of the investigation of the dispute, regardless of the outcome, Z Palette will consider the outcome as final and absolute, and will have no further engagements, obligations or responsibilities should Member reassert the same dispute.

13. POINTS EXPIRATION
13.1 Points do not expire.

14. BREACH, TERMINATION AND DISPUTE
14.1 Z Palette exercises its discretion to suspend and/or terminate any Member account at any time if Member is currently engaged in, or may engage in, or has engaged in (a) fraudulent and suspected fraudulent activity regarding the accrual and/or redemption of Points; (b) conduct that undermines the legitimate business interests of Palette and the Program.; (c) a breach of any and all terms set forth in this Program.
14.2 Member accounts that have been suspended and/or terminated by Z Palette will be communicated of such decision in writing.
14.3 Upon account termination, all Points will be immediately cancelled and the balance of Points will no longer be eligible for use toward future purchases.
14.4 Any and all suspension and/or termination of Member accounts may affect Member eligibility to participate in other Z Palette Programs.
14.5 If Member believes that a suspension and/or termination has been made in error, Member must communicate to Z Palette in writing any reasons why such suspension and/or termination is believed to be in error, within fourteen (14) days of termination.
14.6 Z Palette may request additional information from Member to investigate such claims, and will communicate such requests during the investigation, as required.
14.7 Upon completion of the investigation of the dispute, regardless of the outcome, Z Palette will consider the outcome as final and absolute, and will have no further engagements, obligations or responsibilities should Member reassert the same dispute.

15. VARIANCE OF TERMS AND TERMINATION
15.1 Members agree to be bound by the terms and conditions set forth in this Program.
15.2 Members are responsible to remain knowledgeable about the terms and conditions of this Program.
15.3 Members may cancel Membership at any time, and unused Points accrued in Member account will be forfeited at the time of cancellation.
15.4 Z Palette exercises its discretion to cancel, modify, restrict or withdraw the Program and any aspect of the Program, at any time, and will provide Members with written notice of such changes made.
15.5 Changes made to the Program may be made without advance notice to Members.
15.6 Changes made to the Program may affect Member’s ability to use Points already accumulated.
15.7 Z Palette exercises its right to revoke Membership and its associated Rewards and Benefits if Member has committed a breach to any of terms of this Program.
15.8 Any failure or delay by Z Palette in exercising its rights under these terms and conditions does not constitute a waiver of those rights. Any specific waiver by Z Palette regarding the terms and conditions of the Program will be made in writing and signed by an authorized representative of Z Palette.
15.9 If Z Palette terminates the Program and the balance of Points in Member account is less than 500 Points, then such balance of Points and its associated redemption value will be cancelled, and therefore unable to be applied for future purchases. Any Point balances above 500 Points will be issued a voucher to the US dollar value of the tier in which the Points reside, and can be applied toward future purchases.
